Terms of Service

1. Definitions
- "Software" means the Heimdall desktop application.
- "User" means any person using the Software.
- "Repository" means any source code repository opened within the Software.
2. License Grant
Subject to these Terms, Heimdall grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your personal or internal business purposes.
3. User Responsibilities & Acceptable Use
Users are responsible for ensuring they have the legal right to access and process any repositories, source code, or other content viewed using the Software.
You agree not to use the Software for malware analysis in a way that violates any laws, to engage in illegal activities, or to circumvent software licenses.
Organizations remain solely responsible for determining whether the Software satisfies their internal security, compliance, and regulatory requirements.
4. Restrictions
Except to the extent permitted by applicable law, you may not modify, decompile, disassemble, reverse engineer, redistribute, sublicense, lease, rent, or resell the Software without prior written authorization.
5. Subscriptions and Payments
Heimdall may offer subscription plans for continued access to the Software or premium features. By subscribing, you agree to pay all applicable fees and taxes. Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date. You are responsible for canceling your subscription before the renewal date if you do not wish it to renew. Except as required by applicable law, subscription fees are non-refundable after payment. Payments are processed securely through a third-party payment provider, and we do not store your full payment information. We reserve the right to change our subscription plans, pricing models, or adjust pricing for our service at any time. The free license for students or unemployed individuals can be used for a maximum period of 1 year per person lifetime.
6. Data Handling and Privacy
The Software is designed so that repository contents are processed locally and are not intentionally transmitted to us during normal operation. We only access repository contents if you voluntarily provide them as part of a support request.
Diagnostic and usage telemetry, such as application version, operating system, performance metrics, crash reports, and feature usage statistics, may be collected to improve the Software. Source code, file contents, configuration files, and credentials are not included. We do not sell user data. Please review our Privacy Policy, which forms part of these Terms, for more details.
7. Intellectual Property
Ownership of Code
Heimdall does not claim ownership of any source code, repositories, documentation, or other content processed by the application. All intellectual property rights remain with their respective owners.
Third-Party Licenses
Heimdall does not modify or redistribute third-party software. Users remain responsible for complying with any licenses applicable to the repositories they analyze. Visualization of code using the Software does not change the licensing of the analyzed code.
No AI Training
Heimdall does not use source code, repository contents, or other customer content to train machine learning or artificial intelligence models.
Trademarks
GitHub, GitLab, Bitbucket, Visual Studio Code and other trademarks belong to their respective owners. Heimdall is not affiliated with or endorsed by them.
8. Feedback
If you provide suggestions, ideas, bug reports, or other feedback, you grant Heimdall a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without compensation.
9. Updates
Heimdall may periodically check for and install updates to improve security, stability, compatibility, and functionality.
10. Availability
Heimdall may be modified, updated, suspended, or discontinued at any time, with or without notice. We reserve the right to cease providing the Software and the associated service entirely at any time, which includes the cancellation of all active subscriptions. We do not guarantee uninterrupted availability or compatibility with every operating system, IDE, or repository. We reserve the right to remove, change, or discontinue beta features at any time without prior notice.
11. Termination
We may terminate or suspend access to our service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. If we detect misuse of the application, we reserve the right to ban your account at any time, and any active subscription will be canceled automatically. Upon termination, the license granted under these Terms immediately ends, and you must cease using the Software. Termination of your access does not relieve you of any obligation to pay outstanding subscription fees, and no refunds will be provided for any remaining portion of a subscription period in the event of termination for breach.
12. Warranty Disclaimer
The Software is provided "as is" without warranties of any kind.
Heimdall provides visualization tools only and does not provide legal, security, compliance, or professional advice.
While the Software is designed so that code remains on the user's device, users are responsible for securing their own systems and repositories.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Heimdall be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability shall not exceed the amount you paid for the Software during the twelve months preceding the claim. This limitation applies regardless of the legal theory under which the claim arises.
14. Indemnification
You agree to indemnify and hold Heimdall harmless from claims arising from your use of the Software, your violation of these Terms, or your infringement of any third-party rights, including reasonable legal costs.
15. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. The courts of Spain shall have exclusive jurisdiction over any disputes arising out of or related to these Terms.
16. Miscellaneous
Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.
Entire Agreement
These Terms constitute the entire agreement between you and Heimdall regarding the Software.
Changes to Terms
We may update these Terms from time to time. Continued use of Heimdall after updated Terms become effective constitutes acceptance of the revised Terms.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Force Majeure
Heimdall shall not be liable for delays or failures caused by events beyond its reasonable control.
Export Control
You agree to comply with all applicable export and re-export control laws and regulations.
Survival
Sections relating to intellectual property, payments, feedback, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will remain in effect after termination.
